1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the URBNBEE website at https://www.urbnbeeai.com, the BeeAgent software, and related services (collectively, the "Service") offered by URBNBEE LLC ("URBNBEE LLC", "we", "us", "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. We will indicate the effective date at the top of this page. Continued use after changes constitutes acceptance of the revised Terms, to the extent permitted by law.
2. The Service
URBNBEE is a SaaS customer communication platform that helps businesses manage customer-initiated conversations across WhatsApp, Messenger, Instagram, and SMS. BeeAgent is the product console for customer support, messaging automation, appointment scheduling, business workflows, analytics, and optional integrations such as payments. Features may vary by account or plan.
URBNBEE does not support spam, scraping, unsolicited mass messaging, illegal automation, or abusive platform usage.
We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.
3. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to enter into these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that organization.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.
SMS Messaging Terms
Where SMS is enabled, messages must remain within the disclosed purpose and the authorization applicable to that communication. The business must identify the sender and message purpose and obtain the required SMS consent before sending.
Giving a phone number, submitting a form, requesting support or sending an inbound message does not grant blanket permission for additional messages or marketing. These Terms do not replace a specific opt-in when one is required.

URBNBEE prohibits using its features to contact recipients without the authorization required for that communication. A feature's availability is not permission to send.
URBNBEE does not support unsolicited SMS, purchased contact lists, lead scraping, mass cold outreach, or SMS marketing blasts.
URBNBEE does not sell, rent, or share mobile phone numbers with third parties for marketing or promotional purposes.
4. SMS / text messaging program (United States)
When an SMS program is enabled, any opt-in must identify the sender and specific types of messages covered, such as account notices, appointment reminders or security alerts. Consent does not automatically cover every feature or future purpose.

You confirm that you are the subscriber or customary user of the phone number you provide, or that you have obtained the subscriber's consent to receive messages.
Standard message and data rates may apply, depending on your carrier plan.
You may withdraw SMS consent or opt out using the message instructions, replying STOP, or contacting [email protected]. Reply HELP for help. These options do not limit other applicable withdrawal methods or rights. Requests must be honored under applicable law and program requirements.
Carriers are not liable for delayed or undelivered messages. Delivery is not guaranteed and may depend on your device, carrier, and network conditions.
We do not sell your mobile number to third parties for their own marketing. We share data with messaging providers and subprocessors only as needed to deliver the Service and as described in our Privacy Policy.
5. SMS / text messaging (Mexico)
When an SMS program is enabled in Mexico, messages must follow the disclosed purpose, the corresponding authorization and applicable law. Registering for the Service does not by itself authorize every SMS.
You may revoke consent or request opt-out through the mechanisms indicated in the message, your account, or by emailing [email protected]. Personal data processing related to messaging is described in our Privacy Policy.
6. Acceptable use
You will not misuse the Service, including by: violating law; infringing intellectual property; transmitting malware; attempting unauthorized access; scraping or harvesting data without consent; sending spam, unsolicited messages, bulk unsolicited messages, or unlawful messages; using illegal automation; or using the Service to deceive, harass, or harm others.
You are responsible for ensuring that your messaging workflows comply with applicable consent, opt-out, consumer protection, privacy, platform, and carrier requirements. URBNBEE may reject, suspend, throttle, or terminate workflows that create compliance, deliverability, security, or platform-integrity risk.
We may suspend or terminate access for violations or risk to the Service or other users.
7. Customer data and AI outputs
You retain rights to content and data you submit, subject to the rights we need to operate the Service. You grant us a license to host, process, and display such content solely to provide and improve the Service.
Outputs from AI features may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them for decisions affecting individuals (including guests or customers).
8. Third-party services
The Service may integrate with third-party providers (for example, telecommunications, hosting, analytics, or payment processors). Their terms and privacy practices apply to your use of those services.
9. Fees
If you purchase paid features, fees and billing terms will be presented at purchase. Taxes may apply. Failure to pay may result in suspension.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Limitation of liability
To the maximum extent permitted by applicable law, URBNBEE LLC and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for claims arising out of the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the claim or (b) one hundred U.S. dollars (USD $100), except where limitation is prohibited by law.
12. Governing law; disputes
If you are located in the United States, these Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless a different governing law applies mandatorily in your state of residence.
If you are located in Mexico, you may also have rights under Mexican law, including consumer and data protection provisions, without prejudice to any mandatory forum rules.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
